Terms of Service ("Terms")

Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the Listen Up Platform (the "Service") operated by International Rescue Committee, Inc. (“IRC”)
Your access to and use of the Service is subject to your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.
If you do not accept the Terms in its entirety, you may not access or use the Service.
YOUR USE OF THE SERVICE CONSTITUTES YOUR AGREEMENT TO THE TERMS AND CONDITIONS SET FORTH IN THIS TERMS AND ANY OTHER TERMS AND CONDITIONS THAT MAY BE OUTLINED ELSEWHERE ON THE SERVICE.
Termination
We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
Content
Our Service allows you to post, link, store and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the Content you post. It in no way represents IRC will not be held responsible for any and all damages, liabilities, injuries, losses, claims, suits, judgments, costs (including reasonable attorneys’ and experts’ fees), or any other expenses for damage which may be incurred by, asserted against, or recoverable from such Content.
Ownership
You acknowledge and agree that the IRC is the sole owner of the IRC’s name, logo, and other IRC registered trademarks and service marks (“IRC’s Marks”) as well as the IRC’s materials and content found on the IRC’s website.
Indemnity
You agree to indemnify and hold harmless the IRC for any harm arising out of your Content, or your wrongful and/or improper use of the Service, IRC’s materials and content, and/or the IRC’s approved banners and links.

THE IRC MAKES NO WARRANTIES, REPRESENTATIONS OR STATEMENTS, EXPRESS OR IMPLIED, WITH RESPECT TO THE MATERIALS AND CONTENTS ON THE SERVICE, INCLUDING ITS MARKS, AND HEREBY DISCLAIMS ALL WARRANTIES THAT MIGHT OTHERWISE BE IMPLIED BY LAW. USE OF THE SERVICE AND APROVED USE OF THE IRC’S MATERIALS AND CONTENT AND/OR IRC APPROVED BANNERS AND LINKS ARE SOLELY AT YOUR OWN RISK.

Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 7 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
Choice of Law
This Terms shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to conflict of law provisions of your actual state or country of residence. Any claims, legal proceeding or litigation arising in connection herewith shall be brought solely in New York County, State of New York, and you consent to the jurisdiction of such courts.
Remedies
Please be aware that violation of the IRC’s copyright, trademark, or other intellectual property rights may subject you to civil and criminal penalties.
